RentWorks – Sales Introducer Agreement

This Agreement sets out the terms and conditions for individuals or organisations (“the Introducer”) who wish to act as a commission-only Sales Introducer for RentWorks Ltd (“RentWorks”).
By agreeing to these terms, the Introducer confirms they understand and accept the responsibilities, expectations, and protections listed below.
1. Self-Employment & Tax Declaration
  - The Introducer is self-employed and not an employee, worker, partner, or agent of RentWorks. Nothing in this Agreement creates an employment, agency, or joint venture relationship.
 
  - All payments are made gross (without deductions for tax or National Insurance).
 
  - The Introducer is solely responsible for:
    
      - Registering with HMRC if required;
 
      - Declaring all income received from RentWorks;
 
      - Paying any tax, NI, or other liabilities due.
 
    
   
  - The Introducer acknowledges:
    
      - Under UK law they may earn up to £1,000 per tax year from self-employment without registering as self-employed (the “Trading Allowance”);
 
      - If earnings exceed this threshold, they must register with HMRC and submit a Self Assessment Tax Return.
 
    
   
  - The Introducer indemnifies RentWorks against any claims, demands, penalties, or liabilities arising from their failure to meet HMRC obligations.
 
2. No Employment Rights
  - The Introducer acknowledges they are not an employee or worker of RentWorks.
 
  - They are not entitled to holiday pay, sick pay, pension contributions, minimum wage, redundancy, or any other statutory or contractual employment rights.
 
  - RentWorks owes no duty of care to the Introducer beyond obligations required by law in respect of third parties.
 
3. No Mutual Obligation
  - RentWorks has no obligation to provide the Introducer with work, leads, or a minimum income.
 
  - The Introducer has no obligation to accept any opportunity.
 
  - The Introducer may appoint a substitute to carry out their duties under this Agreement at their own expense, subject to RentWorks’ prior written approval.
 
4. Scope of Role
  - The Introducer’s role is limited to identifying and introducing potential clients to RentWorks, including:
    
      - Private landlords;
 
      - Letting agents;
 
      - Property managers;
 
      - Direct maintenance jobs.
 
    
   
  - The Introducer may not:
    
      - Agree pricing, contracts, or job terms on behalf of RentWorks;
 
      - Represent themselves as an employee or agent of RentWorks;
 
      - Bind RentWorks to any agreement without written consent.
 
    
   
  - Once an introduction is made, RentWorks will handle onboarding, job processing, and administration.
 
5. Commission & Payment Terms
  - The Introducer will be paid a flat commission of £20 (twenty pounds) for each new landlord they successfully introduce to RentWorks.
 
  - A landlord is deemed “successfully introduced” once they:
    
      - Complete the RentWorks Client Onboarding Form; and
 
      - Submit at least one paid job through RentWorks.
 
    
   
  - Commission is payable once RentWorks has received cleared funds for the first job completed for that landlord.
 
  - No commission is payable on cancelled jobs, disputed invoices, or unpaid debts.
 
  - Commission will be paid within 7 business days of RentWorks receiving cleared funds, by bank transfer to the Introducer’s nominated account.
 
  - Commission is payable once only per landlord, regardless of the number of jobs subsequently logged by that landlord.
 
6. Confidentiality & Data Handling
  - The Introducer agrees to keep confidential all RentWorks pricing, client details, and business methods.
 
  - Any personal data shared must be handled in line with the Data Protection Act 2018 and UK GDPR.
 
  - Client data must not be stored, shared, or misused.
 
7. Branding & Representation
  - The Introducer may not use RentWorks’ name, branding, or logos without prior written permission.
 
  - The Introducer must not present themselves as an employee of RentWorks.
 
  - All marketing materials must be pre-approved by RentWorks.
 
8. Non-Circumvention
  - The Introducer must not bypass RentWorks by working directly with any client introduced by or through RentWorks.
 
  - This restriction applies during the Agreement and for 12 months after the last introduction.
 
  - Breach of this clause will entitle RentWorks to claim liquidated damages of £1,000 or 25% of the estimated annual client value (whichever is greater), as a genuine pre-estimate of loss.
 
9. Professional Conduct
The Introducer agrees to:
  - Conduct themselves professionally and respectfully in all dealings;
 
  - Make no misleading claims about RentWorks;
 
  - Clearly state they are a commission-only introducer.
 
10. Insurance & Indemnity
  - The Introducer is responsible for arranging any personal or business insurance appropriate to their activities.
 
  - The Introducer agrees to indemnify and hold harmless RentWorks Ltd from any claims, damages, liabilities, or expenses (including legal fees) arising from their actions or representations.
 
11. Termination
  - RentWorks may terminate this Agreement at any time and without reason, with immediate effect, by written notice.
 
  - Either party may terminate with 14 days’ written notice.
 
  - Commission is only payable for introductions made prior to termination and only where RentWorks has received cleared funds.
 
  - No compensation is payable on termination.
 
12. Dispute Resolution & Jurisdiction
  - Both parties will attempt mediation before commencing legal proceedings.
 
  - Failing that, disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
 
13. Declaration
By signing below, the Introducer confirms they have read, understood, and agreed to all terms of this Agreement.
